TERMS OF SERVICE

1. Legally Binding Agreement
1.1 Equinox Enterprises Technology LTD., a legal entity registered in Hong Kong at ROOM 1802-3, 18/F, OLYMPIA PLAZA, 255 KING'S ROAD, NORTH POINT, HONG KONG provides the StoryReel products and services (hereinafter referred to as “StoryReel Services”, “StoryReel”, “our services” or “services”) . These TERMS OF USE, together with all documents referred to herein and all other operating rules, policies and procedures that StoryReel may publish from time to time, are a binding legal agreement between users ("users", "you") and Equinox Enterprises Technology LTD. and/or its affiliates (hereinafter referred to as “StoryReel”, “we”, “our” or “us” ) of the StoryReel platform, including all sub-domains and associated websites (collectively, the "Website"), the StoryReel mobile application(s), including iPhone and Android mobile applications ("Apps"), any and all other platforms on which content is accessed, published, or distributed, and all associated services, features, or content made available through any of the foregoing ("Services") (together, the "Platform"). Please read these Terms carefully before using the Service.
1.2 Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By selecting 'Accept', you confirm that you have acknowledged, accepted these Terms and that you agree to fully comply with them, including StoryReel Privacy Policy. Please read these Terms carefully before using the Platform. If you do not agree to these Terms or you are ineligible for use of the Service for any of the reasons described in these Term, you are not granted permission to access, view, or otherwise use the service for any purpose and you shall avoid or cease registering or using StoryReel Services immediately.
1.3 We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated“ date of these Terms and you waive any right to receive specific notice of each such change.
It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Service after the date such revised Terms are posted.
2. Use of Service
2.1.1 StoryReel is an online streaming platform that provides access to video shows to the Users.
2.1.2 We do not knowingly collect personal information from children under 18 years of age. If you are a minor in the jurisdiction where you reside (generally under the age of 18), you must not use or access the service at any time or in any manner.
2.1.3 By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years of age,or the age of majority in your province, territory, country, or jurisdiction, with full legal capacity to register, log in, or use our services, and minors may only access the service under the supervision of an adult; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations.
2.1.4 The Service is for personal use only and may not be used in connection with any commercial endeavors. Our written consent is required otherwise for commercial use. Organizations, companies, and/or businesses may not use the Service for any purpose without permission.
2.2 The Service may be modified, updated, interrupted or suspended at any time without notice or liability to you.
2.3 Without limiting any other provision of these terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the service (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant or any other provision contained in these terms or of any applicable law or regulation. we may terminate your use or participation in the service, or disable, suspend, or terminate your account in our sole discretion.
3.User Behavior
3.1 By using the Service, you represent and warrant that you have the proper legal capacity and you agree to comply with these Terms:
(a) you are not subject to sanctions imposed by the United Nations Security Council, the United States of America, the United Kingdom, the European Union, and/or the country of your citizenship or nationality and you are not located in a country that is subject to any such sanctions or in a country or territory that has been designated as a terrorist supporting country by the United Nations, the United States of America, the United Kingdom and/or the European Union;
(b) your use of the Service will not violate any applicable law or regulation or infringe upon the lawful rights and interests of StoryReel and others.
3.2 Prohibited Activities
As a User of the Service, you agree not to:
3.3 You agree that you will not conduct or use StoryReel Services to conduct the activities mentioned above (nor providing facilitation or support for others in conducting such),or otherwise you shall bear all responsibilities and consequences incurred therefrom, and where any loss and/or adverse impact is inflicted upon us, you shall compensate us in full and eliminate such adverse impact.
4.Registration and Accounts
4.1 You may register through your account with certain authorized third parties (such as Facebook, Google, or Apple). If you log in using authorization from any third - party account, you agree to follow both these Terms and the relevant rules of the corresponding third party regarding the usage of the account. You can also bind your email account, phone number, or other contact information to our account. You agree that we may use the account information you have bound.
4.2 You agree that the information you provide to us is complete, authentic, and accurate, and that you will keep it accurate and up - to - date at all times. You shall not use other persons' identities, email addresses, mobile phone numbers, etc. for your account registration. The registration information such as the account name, profile photo, and profile submitted by you shall not include any illegal or inappropriate information.
4.3 Except when registering through the authorized third - party accounts permitted by us, you shall only register through the channel officially provided by us. You shall refrain from obtaining an account via unauthorized or other illegal methods, including but not limited to purchasing, renting, borrowing, sharing, maliciously utilizing, or destroying our registration system.
4.4 You only have limited rights to use the account, and your account can only be used for personal and non - commercial purposes.
4.5 It is important that you keep your StoryReel account information, your third-party account information and password safe and that you do not disclose it to any third party. You agree that you are solely responsible (to us and to others) for the activity that occurs under your StoryReel account.
4.6 You acknowledge and agree that, for your account’s security, we may, at our
discretion, conduct checks, including but not limited to, identity verification, SMS verification, and mailbox authentication.
If you are unable to complete the verification process, we may reasonably suspect that your account has been compromised and may suspend the provision of services to your account and/or take further measures as deemed necessary.
4.7 We reserve the right to suspend or terminate your access to the Services, including your user account, or withdraw, change, delete, or transfer any content you store or publish on our platform, at any time if in our reasonable opinion you breach any provision of these Terms. This right applies to the maximum extent permitted by applicable laws, regulations, these Terms, and any other platform rules.
5. Copyright Policy
5.1 Proprietary Rights Protection and License to You
5.1.1 The ownership and intellectual property rights (including but not limited to copyrights, trademarks, and patents) of Service and all content, including but not limited to trademarks, logos, marks, applications, source code, programming interfaces, web pages, text, images, audio, video, graphics displayed on StoryReel, belong to StoryReel or other rights holders. The above content and the Service are provided for your information and personal use only. You agree not to use, modify, copy, distribute, change, transmit, or publish the above content without our written consent, otherwise you are responsible for indemnifying us or other rights holders for all losses caused by it.
5.1.2 All intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, design, information, artwork, data, codes, products, software and any other proprietary rights related to StoryReel, including the rights therein and any derivatives thereof are owned by us or licensed to us. Except as expressly provided in these Terms, no license or other rights to the intellectual property are granted to you. You agree not to infringe upon our intellectual property rights or those of our licensors. Any unauthorized use of our intellectual property rights is a violation of these Terms and may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes.
5.1.3 Provided that you are eligible to use the Service and subject to your full compliance with the Terms, we grant you a revocable, limited, non-transferable, non-sublicensable and non-exclusive right to use. You may download and use the software to access / use StoryReel Services for non-commercial purposes only.
You must not reproduce, modify, publish, sell, rent, or otherwise exploiting our services or any software component; you may not reverse engineer, decompile, disassemble, or attempt to derive the source code through any similar methods.
6.User Data
6.1 We care about data privacy and security. Our Privacy Policy introduces our collection, processing and protection of your personal information, and your right to access, correct and delete such information. Please review it before you use StoryReel services. The Privacy Policy is part of and is governed by these Terms and by agreeing to these Terms, you agree to be bound by the terms of the Privacy Policy.
6.2 You agree to provide true, detailed, and accurate personal information with your consent while using StoryReel. You agree to promptly update any changes to your personal information. If the personal information you provide is inaccurate, false, or contains illegal/objectionable information, we may reject your registration application and terminate your use of the Service.
6.3 If we receive notice that the user has breached any Terms or undertakings with any of our affiliates, or is reasonably suspected of engaging in dishonest or fraudulent activities. We may restrict, suspend, or terminate the user's access to any Services without liability to the user at any time in our reasonable discretion. We reserve the right, but are not obligated, to investigate such breaches or request confirmation from the user.
7. User Disputes
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Service and all of its subsidiaries, affiliates, officers, agents, and other partners and employees, from and against any loss, liability, claim, or demand, including reasonable attorney’s fees and costs, made by any third party resulting from or in any way connected with or related to your use of the Service in violation of this Agreement and/or your breach of this Agreement and/or any of your representations and warranties set forth above. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with, and fully indemnify, us in connection therewith.
8.Third-Party Links And Websites
8.1 During provision of StoryReel Services, we may display commercial advertisements (including advertising links) or other type of commercial information (including but not limited to display advertisement at any spot of StoryReel platform or in the content you uploaded or disseminated), as permitted by applicable laws and regulations.
8.2 We may decide, at our own discretion, the form, time, position and content of advertisement, without any interference of third party, as permitted by applicable laws and regulations.
8.3 We may send you with promotional offers and relevant commercial updates via email, e-message, or other methods, and will simultaneously offer you the option to unsubscribe.
8.4 We may provide you with access to third-party links and websites over which we neither monitor nor have any control nor input. We have no actual control over such advertisers and advertising contents and that you need to be prudent concerning the authenticity and reliability of such advertisement.
8.5 We provide access to such third-party links and access to third-party websites without any warranties, representations or conditions of any kind and without any endorsement. You shall be personally responsible for any act between you and the advertiser or advertisement owner and settle relevant dispute of any kind there between. We shall have no liability whatsoever arising from or relating to your use of third-party links or websites unless so required for the advertisement publisher by applicable laws and regulations.
9.Service Modifications and Interruptions
9.1 We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify, temporarily or permanently, the Service (or any part thereof) at our sole discretion at any time or for any reason. We will notify you via announcement posted on our platform, pop-ups, or any other means by which you could reasonably obtain notice before the modifications take effect.
9.2 Your continued use of StoryReel Services constitutes your binding acceptance of the revised Terms. Any dispute arising between you and StoryReel will be resolved exclusively under the latest Terms. Should you disagree with these revised Terms, you must cease using the Services immediately.
9.3 We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service. We shall not be liable to you or any third party for any change or termination of StoryReel Services.
9.4 You agree that we have no liability to you or any third party whatsoever for any loss, damage, or inconvenience your inability to access or use the Service during any downtime or discontinuance of the Service.
10.5 Any obligation which expressly or by their nature should continue after termination, cancellation, or expiration of the Terms shall survive and remain in effect after such termination, cancellation or expiration.
10.6 Nothing in these Terms will be construed to obligate us to maintain and support the Service or to supply any corrections, updates, or releases in connection therewith.
10.Notifications
All notifications to you will be delivered through announcements posted on our websites, email, SMS, or any other reasonable method enabling you to receive such notice. These notifications are deemed delivered at the moment they are sent. Should we employ multiple methods simultaneously, the delivery time corresponds to the earliest sending time.
11. Governing Law
11.1 The laws of Hong Kong, excluding its conflicts of law rules, shall govern your use of the Services the execution and the interpretation of this Terms to the maximum extent permitted by applicable law.
11.2 All disputes, disagreements or claims arising under these Terms or in connection with them, including but not limited to carrying out the provisions of this Terms, shall be subject to the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. For the avoidance of doubt, amicable settlement via negotiation is not the prerequisite condition of the arbitration mentioned above. The arbitration award shall be final and binding on both parties. The place of arbitration in the case provided for in this provision is Hong Kong. The arbitration proceedings shall be conducted in English.
12. Class Action Waiver
12.1 By agreeing to this terms, you agree that you are waiving your right to commence or engage in any class action, join or consolidate claims by or against others in a representative capacity or as a member of a class, or obtain any relief in any arbitration in the interests of the general public concerning any matter related to this Terms.
Neither you nor StoryReel agrees to any arbitration or claim arising out of or in connection with these Terms on a class basis, and the arbitrator shall have no authority to proceed on such a basis. A party may assert a claim or counterclaim only in that party’s individual capacity and not as a plaintiff or class member in any purported class proceeding. Under no circumstances shall these Terms permit or authorize the resolution of disputes through class action or any other form of collective action.
12.2 This term will survive any termination of your use of the Service.
13.Term and Termination
13.1 This Agreement and all other provisions referenced herein contains the entire agreement between you and us regarding the use of the Service, which are effective as of the date of posting and. These Terms shall remain in full force and effect while you use the Service. You may terminate your account at any time by contacting customer service at service@storyreel.life. If you terminate your account, you remain obliged to pay all outstanding fees, if any, incurred prior to termination relating to your use of the Service.
13.2 If any provision of these Terms is held invalid, the remaining clauses shall continue in full force and effect, whose validity, legality, and enforceability shall not in any way be affected or impaired thereby.
13.3 Our failure to exercise, delay in exercising, and partial exercise of our rights under the law and the Terms shall not be deemed a waiver of such rights nor shall it prejudice our future exercise of such rights.
13.4 You acknowledge and agree that we reserve the right to transfer our rights and obligations hereunder, in whole or in part, to our affiliate companies. Consequently, such affiliates shall be entitled to assert claims (if applicable under applicable laws and/or regulations) pursuant to the relevant clauses herein. No other person or company shall be a third-party beneficiary of the Terms. You further acknowledge and agree that in the event of such transfer, we are not required to provide you with any written notice. We guarantee that our affiliate companies will continue to perform the obligations hereunder and that your rights and interests will not be impaired by such transfer.
14.Disclaimer
14.1 As with the purchase of a product or service through any medium of in any environment, you should exercise your best judgment and caution when appropriate. You acknowledge that your use of the Service is at your sole risk.
14.2 This Terms and all disclaimers and limitations of our liability contained in this Terms shall only apply to the maximum extent permitted by the applicable laws and/or regulations. Nothing in this Terms shall affect any statutory rights that you are always entitled to as a user and that you cannot contractually agree to alter or waive.
14.3 You understand and confirm that, StoryReel services and all information, content, materials, products (including software) are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with StoryReel service (including technology and information) and your use thereof, including but not limited to the service content, special function of services or their reliability, the accuracy or completeness, the implied warranties of merchantability, availability and whether they meet your requirements..
14.4 We will assume no liability or responsibility for any (a) errors, mistakes, or inaccuracies of content and materials; (b) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the service; (c) any unauthorized access to or use of secure servers we use and/or any and all personal information and/or financial information stored therein; (d) any interruption or cessation of transmission to or from the service; (e) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the service by any third party, and/or; (f) any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the service..
14.5 We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the service, any hyperlinked website, or any website or mobile application featured in any banner or other advertising. We will not be a party to or in any way be responsible for monitoring any transaction between you and any third-party providers of products or services, and will not be responsible for any defamation, offense or other illegal conduct of any third party, and will not bear any loss suffered by you.
14.6 You acknowledge and agree that we have an obligation to cooperate with any law enforcement authorities, administrative organs, or court orders that request or direct us to disclose the identity of anyone posting content believed to violate these Terms. We will use reasonable efforts to notify you regarding any such inquiry; provided, however, that the inquiry is not confidential, and that we are under no obligation to disclose such information and shall therefore not be liable to you for any failure to disclose.
14.7 No advice or information, whether oral or written, obtained by the user from us or any materials or content available through the services will create any warranty regarding any of the affiliated parties or us that is not expressly stated in the StoryReel terms. The user assumes all risk for any damage that may result from the user's use of or access to the services, the user's dealings with any other users on the services, and any materials or content available through the services. These limitations apply to the maximum extent permitted by applicable law.
14.8 You understand and agree that StoryReel shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the services or systems due to the following reasons: (a) system shut-down for maintenance; (b) inability to transmit data due to failures in communications terminals or telecommunications equipment; (c) systems failure and inability to perform its functions) due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties; (d) suspension or delay of services or systems failure due to reasons beyond the reasonable control of us such as hacker or cyber attacks, technical adjustments or failure of the telecommunications department, website upgrades, third party problems or any suspension or disruption of transportation or business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic; or (e)action or request by any government, suspension of existing service in compliance with state or federal law, rule, or regulations
15.Limitation of Liabilities
Notwithstanding anything to the contrary contained herein, we only bear the responsibility for our services to the maximum extent permitted by law, and shall not be liable for any indirect, incidental, derivative or punitive losses and/or damages and loss of profit, business reputation, business opportunity, data or other tangible or intangible losses arising out of the services, whether it's foreseeable. If you are dissatisfied with the Platform, or with any of these Terms, or feel StoryReel has breached these Terms, your sole and exclusive remedy is to discontinue using the Platform.
16. Indemnification
16.1 You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, contractors and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys fees and expenses, made by any third party due to or arising out of: (a) use of the Service; (b) breach of these Terms; (c) any breach of your representations and warranties set forth in these Terms; or (d) your violation of the rights of a third party, including but not limited to intellectual property rights.
16.2 You expressly acknowledge and irrevocably agree that you hereby waive all rights and agree to hold us entirely harmless from any claims arising from any action taken by us during or resulting from our investigations, and/or from any actions taken as a consequence of investigations, whether conducted by us or by law enforcement or regulatory authorities.
16.3 You shall use your best efforts to cooperate with us in the defense of any such claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
